Terms of Service

Welcome to SoWo. These Terms of Service ("Terms") are an agreement between you and Social World, LLC. Please read them carefully. They explain what you can expect from us and what we expect from you when you use SoWo. We have tried to keep the language plain. Where something is a legal term that matters, we have kept it precise.
1. Acceptance, who we are, and definitions
By creating a SoWo account, clicking to accept these Terms, or using SoWo in any way, you agree to these Terms. If you do not agree, please do not use SoWo.
Who we are. SoWo is operated by Social World, LLC, a limited liability company registered in Colorado, United States, doing business as "SoWo." In these Terms, "Social World," "SoWo," "we," "us," and "our" mean Social World, LLC. "You" and "your" mean the person or organization using SoWo.
Definitions.
- Service. The SoWo websites (including joinsowo.com), the SoWo web application, and any related products, features, content, and support we provide.
- Facilitator. An educator or other individual who subscribes to SoWo to lead language learning for one or more Learners.
- Learner. A person who uses SoWo to practice and build language skills, including students in a school deployment and employees in a corporate deployment.
- Account. The credentialed access we provide to you to use the Service.
- Your Content. The materials you create, upload, or store in the Service, such as lesson plans, prompts, library entries, and Learner materials.
- AI Output. Practice content, examples, feedback, and other material the Service generates using artificial intelligence.
2. Eligibility and age
You must be 13 or older to create your own Account. Children under 13 may use SoWo only through a school or district account. We do not offer individual (non-school) accounts to children under 13.
Minors in school and parent settings. SoWo is designed for use by Learners, including minors, under the supervision of a Facilitator, school, or parent. Where a Learner is under 13, that Learner may use the Service only through a school or district that has the authority to provide consent on behalf of parents for educational purposes. We do not offer individual (non-school) accounts to children under 13. Our handling of children's personal information is described in our Privacy Policy.
Authority to bind an organization. If you accept these Terms or use the Service on behalf of a school, district, company, or other organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization. If you do not have that authority, you may not accept these Terms or use the Service on the organization's behalf.
3. Accounts and security
One person, one Account. You are responsible for keeping your password confidential and for everything that happens under your Account. Keep your account information accurate and up to date.
If you believe someone has accessed your Account without permission, contact us right away through our contact form. You are responsible for activity under your Account until you notify us of unauthorized use. We are not liable for losses caused by unauthorized use of your Account that results from your failure to keep your credentials secure.
4. Acceptable use
SoWo is built for educators and learners. To keep it safe and useful for everyone, you agree not to:
- Harass, abuse, threaten, or harm other people, including Learners, Facilitators, and our team.
- Upload or share content that is unlawful, defamatory, hateful, sexually exploitative of minors, or otherwise harmful.
- Infringe anyone's copyright, trademark, patent, trade secret, privacy, or other rights.
- Scrape, crawl, harvest, reverse-engineer, decompile, or attempt to derive the source code of the Service, except to the extent that restriction is prohibited by law.
- Copy, resell, sublicense, rent, or otherwise commercially exploit the Service or any part of it without our written permission.
- Use the Service, including AI Output, to build or train a competing product or model.
- Attempt to access another user's Account or any part of the Service you are not authorized to use.
- Interfere with or disrupt the Service, including by introducing malware, launching denial-of-service attacks, probing for vulnerabilities, or circumventing security or usage limits.
- Use the Service to generate spam, send unsolicited communications, or impersonate any person or organization.
- Misrepresent AI Output as professionally verified, accredited, or human-authored where that would mislead a Learner, parent, or institution.
- Use the Service for any illegal activity or in violation of any applicable law or regulation.
We may investigate suspected violations and may suspend or close Accounts that break these rules, as described in Section 15.
5. Subscriptions, billing, and automatic renewal
5.1 Plans and pricing
SoWo offers the following plans:
- Facilitator. $10 per month, billed monthly. The first 90 days are free for OWL bootcamp attendees. Your founding price is locked for as long as your subscription remains continuously active (see Section 5.5).
- Schools and Districts. $12 per student per year, billed annually. Pilots may run by term or quarter.
- Corporate. $60 per employee per year, billed annually.
Prices are in U.S. dollars and exclude taxes (see Section 5.7).
5.2 Payment processing
Payment processing is currently not active. When activated, payments will be handled by Stripe, and you authorize us and Stripe to charge your selected payment method for the fees that apply to your plan. You are responsible for providing a valid, current payment method and for keeping it up to date.
5.3 Automatic renewal, recurring charges, and how to cancel
Please read this section carefully. Your subscription will automatically renew and you will be charged on a recurring basis unless you cancel.
- Automatic renewal. Your subscription renews automatically at the end of each billing period for another period of the same length. Monthly plans renew monthly. Annual plans renew annually.
- Recurring charge. At each renewal, we (through Stripe, once activated) will charge your payment method the then-current fee for your plan, plus any applicable taxes, using the payment method on file. For Facilitator plans this is $10 per month. For Schools and Districts it is $12 per student per year. For Corporate it is $60 per employee per year.
- How and when to cancel. You may cancel at any time from your account settings, or through our contact form. To avoid being charged for the next period, cancel before your current billing period ends.
- When cancellation takes effect. Cancellation stops future renewals. It takes effect at the end of your current paid billing period. You keep access through the end of that period, and you are not charged again after that. Except as described in the 90-day guarantee (Section 6) or where we terminate without cause (Section 15), fees already paid are not refunded for the unused part of a billing period.
5.4 Free trial and 90-days-free offer
From time to time we offer free trials or promotional free periods, including the 90-days-free launch offer for eligible OWL bootcamp attendees. During a free period you will not be charged. Unless you cancel before the free period ends, your subscription will automatically convert to a paid subscription and you will be charged the then-current fee for your plan on a recurring basis. We will treat the start of paid billing as the start of automatic renewal under Section 5.3. Only one free trial or promotional free period applies per customer unless we say otherwise.
5.5 Founding-price lock
If you subscribe at a founding price, that price is locked for as long as your subscription remains continuously active. If you cancel and later resubscribe, or if your subscription lapses, the founding price may no longer be available and current pricing will apply.
5.6 Price changes
We may change our prices. If a price change affects your subscription (and you are not protected by the founding-price lock in Section 5.5), we will give you advance notice by email before the change takes effect. The new price will apply at your next renewal after the notice period. If you do not agree to the new price, you may cancel before it takes effect.
5.7 Taxes
Fees do not include sales, use, value-added, or other taxes. You are responsible for all applicable taxes other than taxes based on our net income. Where we are required to collect taxes, we will add them to your charges.
6. The 90-day money-back guarantee
We stand behind SoWo: proven progress in 90 days, or your money back.
What it covers. The guarantee covers Facilitator-tier subscription fees you actually paid during your first 90 days of paid subscription.
How to claim. Contact us through our contact form within 90 days of the start of your paid Facilitator subscription and ask for a refund. You do not need to submit evidence of your learners' progress. We will refund, in full, the Facilitator-tier subscription fees you paid during that first 90-day period.
The free-offer case. If you are on the 90-days-free launch offer, no fees are charged during the free period, so there is nothing to refund for that period. The guarantee applies to fees you actually pay. If you continue as a paying Facilitator after a free period, the guarantee applies to the Facilitator-tier fees you pay in your first 90 days of paid subscription, claimed as described above.
What it does not cover. The guarantee applies to Facilitator-tier subscription fees only. It does not cover School and District or Corporate plans, taxes, or fees paid to third parties. It does not apply to Accounts obtained through fraud or resold to a third party, or to fees outside the first 90-day window.
7. Your content and license
Your Content stays yours. As between you and us, you own Your Content. You are responsible for Your Content and for having the rights needed to use it in the Service.
License to operate the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, display, transmit, and process Your Content solely as needed to operate, maintain, secure, and improve the Service and to provide it to you and your Learners. We do not use Your Content or Learner content to train third-party AI models, consistent with our Privacy Policy. This license ends when you delete Your Content or close your Account, except for content that is retained as described in our Privacy Policy, that we are required by law to keep, or that you have shared with others who have not deleted it, and except for backups kept for a commercially reasonable period.
Feedback. If you send us ideas, suggestions, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation or compensation to you.
8. AI-generated content
SoWo generates practice content and other material using artificial intelligence. AI Output can be inaccurate, incomplete, biased, outdated, or unexpected, and may not reflect real facts or events.
- Review before classroom use. You are responsible for reviewing AI Output for accuracy, appropriateness, and alignment with your curriculum before using it with Learners, particularly minors.
- Not professional advice. AI Output is not professional, legal, medical, or financial advice, and is not an accredited or standardized assessment of language proficiency. Do not rely on it as a substitute for professional judgment or formal assessment.
- Your responsibility. You are responsible for how you use AI Output, including any decisions you make based on it. Given the nature of generative AI, we cannot promise that AI Output is unique, and similar output may be generated for other users.
9. Intellectual property
SoWo's platform stays ours. The Service, including the SoWo application, its design and user interface, all software and code, the underlying AI systems and configurations, and the specific expression of our Practice Loop methodology (Discover, Design, Deliver, Practice, Apply, Measure), is owned by Social World or its licensors and is protected by intellectual property laws.
Trademarks. "SoWo," "Social World," the SoWo logo, and our other brand features are trademarks of Social World. You may not use them without our prior written permission.
Limited license to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended educational purpose during your subscription. We reserve all rights not expressly granted to you. You do not acquire any ownership rights in the Service by using it.
10. Third-party services
The Service relies on third parties, including third-party AI providers, payment processing through Stripe (once activated), and hosting. Your use of features that depend on these providers is also governed by those providers' terms and privacy policies. We are not responsible for third-party services, and their availability or terms may change. We will identify our key providers, including AI providers, in our Privacy Policy or a related disclosure.
11. Beta features and "as is" disclaimer
We may offer features identified as beta, preview, or early access. These are provided for evaluation, may change or be withdrawn, and may be less reliable than generally available features. You use beta features at your own risk.
To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI Output will be accurate or reliable. We try hard to keep the Service running well, but we do not guarantee uninterrupted or error-free service. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
12. Disclaimer about learning outcomes
SoWo is a tool that helps Facilitators and Learners build language skills. Learning outcomes depend on effort, classroom context, time spent, and individual Learner factors that are outside our control. We make our 90-day progress guarantee (Section 6) in good faith, and that guarantee is your remedy if you are not satisfied. Apart from that guarantee, we do not promise any specific learning result, score, proficiency level, or outcome in every case.
13. Limitation of liability
To the maximum extent permitted by law:
- Social World will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to these Terms or your use of the Service, even if we have been advised of the possibility of such damages.
- Social World's total cumulative liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you actually paid us in the 12 months immediately before the event giving rise to the claim, or (b) one hundred US dollars ($100).
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or your non-waivable rights as a consumer. These limits apply regardless of the legal theory and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of these may not apply to you, in which case our liability is limited to the greatest extent permitted by law.
14. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Social World and its officers, members, employees, and agents from and against any claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your misuse of the Service; (b) your violation of these Terms or any applicable law; (c) Your Content or your use of AI Output; (d) your infringement or violation of the rights of any third party; or (e) your violation of any obligation to obtain required consents for Learners, including minors. We may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense.
15. Termination and suspension
By you. You may cancel your subscription or close your Account at any time, as described in Section 5.3.
By us for cause. We may suspend or terminate your Account, with or without notice, if you violate these Terms, if your use creates a security, legal, or operational risk, if you fail to pay fees when due, or if required by law. Where practical and appropriate, we will give you notice and an opportunity to fix the problem.
Refund if we terminate without cause. If we terminate your subscription without cause (meaning not for one of the reasons above), we will refund the unused, prepaid portion of your subscription fees on a pro-rata basis.
Effect of termination. On termination, your right to use the Service ends. Your Account data is handled in accordance with our Privacy Policy. Sections that by their nature should survive termination will survive, including Sections 7 (feedback license), 9, 11, 12, 13, 14, 16, 17, and 20.
16. Governing law and venue
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. Subject to Section 17, any dispute that cannot be resolved between us will be brought exclusively in the state or federal courts located in Colorado, and you and we consent to the personal jurisdiction of those courts.
17. Dispute resolution
Informal resolution first. Most disputes can be resolved without formal proceedings. Before filing any claim, you agree to contact us through our contact form and describe the dispute, and to give us at least 30 days to try to resolve it in good faith. We will do the same before bringing a claim against you.
If we cannot resolve a dispute informally within that period, it will be handled by the courts identified in Section 16.
18. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you by email and post the updated Terms at least 30 days before they take effect. Non-material changes may take effect when posted. The "Last updated" date at the top shows when these Terms were last revised. For material changes, we will ask you to affirmatively accept the updated Terms before you continue using the Service. If you continue to use the Service after the effective date of a change, you accept the updated Terms. If you do not agree, you should stop using the Service and may cancel as described in Section 5.3.
19. General terms
Assignment. You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms, for example in connection with a merger, acquisition, financing, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
Severability. If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force.
Waiver. Our failure to enforce any provision is not a waiver of our right to do so later. Any waiver must be in writing to be effective.
Entire agreement. These Terms, together with our Privacy Policy and any plan-specific or order terms you agree to, are the entire agreement between you and us about the Service and replace any prior agreements on that subject.
Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, outages, failures of third-party providers, labor disputes, or government action.
