Terms of Service

Welcome to SoWo. These Terms are the agreement between you and Social World, LLC. We've kept them short and in plain language. Please read them.

1. About these Terms

The short version. These Terms cover everyone who uses SoWo. The summary boxes are here to help you read: they aren't part of the contract.

1.1 Who we are. SoWo is operated by Social World, LLC, a Colorado limited liability company doing business as "SoWo." "We," "us," and "our" mean Social World, LLC. "You" and "your" mean the person using SoWo.

1.2 What you're agreeing to. By creating an account, clicking to accept, or using SoWo, you agree to these Terms. If you don't agree, don't use SoWo.

1.3 The full agreement. These Terms, our Privacy Policy, our Copyright Policy, and any order confirmation for a plan you purchase.

1.4 What is not part of the agreement. The summary boxes, section headings, our help center, marketing materials, and anything said in a demo are not part of the agreement and create no warranty. If a summary and the numbered text disagree, the numbered text governs.

1.5 Which document wins. Order confirmation → these Terms → Copyright Policy → Privacy Policy.

1.6 Definitions.

• Service — the SoWo application, joinsowo.com, and related products and support.
• Facilitator — an educator, tutor, or other individual who subscribes to lead language learning.
• Learner — a person using SoWo to build language skills.
• Your Content — what you create, upload, or store: lesson plans, prompts, library entries, practice materials, writing, and audio you record.
• AI Output — practice content, examples, images, feedback, corrections, estimates, and other material the Service generates using artificial intelligence.
• Learner Content — Your Content, AI Output, corrections, and learning-progress data, together.

2. Who can use SoWo

The short version. You must be 13 or older. If you're under 18, your parent or guardian needs to know you're using SoWo. We don't serve children under 13.

2.1 Minimum age — 13. You must be 13 or older. We do not knowingly collect information from anyone under 13 and do not offer accounts to them in any form. If we learn a user is under 13, we close the account and delete the data.

2.2 If you invite a Learner who is a minor. You represent that you have informed that Learner's parent or legal guardian that they will be using SoWo, and that you are lawfully permitted to enrol them. Inviting someone is not the same as agreeing on their behalf — each Learner agrees to these Terms themselves when they create their account. Before inviting a minor, tell their parent or guardian what SoWo is and how it works. If they have questions, they can reach us at support@joinsowo.com.

2.3 No school deployments yet. SoWo is not currently offered for institutional use by a school or district, and these Terms don't cover one. If you want to use SoWo with a class that includes students under 13, contact support@joinsowo.com.

2.4 Protections that apply to everyone. These apply to every user, at every age — we don't make you tell us how old you are to get them:

• (a) No advertising, ever. We do not sell anyone's information, share it for advertising, serve targeted advertising, or build advertising or behavioural profiles.
• (b) No marketing to Learners. We don't send Learners marketing communications.
• (c) Facilitators can see their work. The Facilitator who invited a Learner can view that Learner's practice and progress.

2.5 Organizations. If you accept these Terms for a company, you represent that you're authorized to bind it, and "you" includes that organization.

3. Your account

The short version. One account per person. Keep your password safe. Tell us fast if something looks wrong.

3.1 One person, one account. Your account is for you alone. Don't share your login.

3.2 Security. You're responsible for keeping your password confidential and for activity under your account.

3.3 If something goes wrong. Email support@joinsowo.com right away if you think someone accessed your account without permission. You're responsible for activity under your account until you tell us.

4. Acceptable use

The short version. Don't harm people, don't break the law, don't attack the Service, and don't use SoWo to build a competing product.

4.1 You agree not to:

• (a) Harass, abuse, threaten, or harm anyone.
• (b) Upload content that is unlawful, defamatory, hateful, sexually exploitative of minors, or otherwise harmful.
• (c) Infringe anyone's intellectual property or privacy rights.
• (d) Scrape, crawl, reverse-engineer, or decompile the Service, except where law prohibits that restriction.
• (e) Resell, sublicense, or rent access without our written permission.
• (f) Place unreasonable load on the Service, or circumvent technical measures that manage usage. If your use is causing problems we'll contact you and give you a chance to adjust before we take any action.
• (g) Access another user's account or any part of the Service you're not authorized to use.
• (h) Disrupt the Service.
• (i) Send spam or impersonate anyone.
• (j) Present AI Output as professionally verified, accredited, or human-authored in a way that would mislead a Learner or parent.
• (k) Use SoWo for anything illegal.

4.2 Building a rival.

• (a) Use AI Output for any lawful purpose, including commercially, except as set out here.
• (b) Don't use AI Output as a material input for training or fine-tuning a model that is, or is intended to become, a Competing Product — a product marketed to schools, educators, or learners for AI-assisted language instruction. Nothing outside that definition is restricted.
• (c) This targets bulk or automated extraction. Keeping, editing, publishing, translating, or sharing the output of your own lessons is never a breach, however much of it there is.
• (d) You may always: (i) evaluate and benchmark the Service and publish results, described accurately; (ii) build models that classify, tag, translate, or organize your own content; (iii) develop a competing product independently. Independent development is not a breach, and we carry the burden of showing AI Output was used.

5. Your Content

The short version. What you make is yours. We need a limited licence to run the Service — nothing more.

5.1 It stays yours. As between you and us, you own Your Content. You're responsible for having the rights to use it here.

5.2 The licence we need. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, display, transmit, and process Your Content solely to operate, maintain, and secure the Service and provide it to you and your Learners. It does not extend to product development, analytics sold to others, marketing, or model training.

5.3 Sharing inside SoWo. Some features let you share content with your Learners or your course group. You control that and can change it.

5.4 When the licence ends. When you delete Your Content or close your account, except for backups kept for a commercially reasonable period, content we must keep by law, and content shared with others who haven't deleted it.

5.5 Confidentiality. We treat Your Content as confidential. We won't disclose it except to provide the Service, to people you share it with, or where law requires — and we'll tell you before a legally compelled disclosure unless prohibited.

5.6 Feedback. Ideas or suggestions you send us about the Service carry a perpetual, worldwide, royalty-free licence for us to use them. This covers the idea, not Your Content.

6. AI Output — who owns it

The short version. You own what the AI generates for you. We're assigning you whatever rights we have in it. Two honest limits are in 6.3.

6.1 Your inputs. You keep all rights in what you put in. We claim none.

6.2 Your outputs. You own the AI Output generated from your inputs. To the extent we hold any right, title, or interest in it, we assign it to you the moment it is generated. Not conditioned on your compliance with these Terms.

6.3 Two honest limits. We can only give you what we have — we don't promise AI Output is original, protectable, or free of third-party rights. And it isn't exclusive to you: the Service may generate similar output for other users, and this assignment doesn't reach their output or content supplied by a model provider.

6.4 Ownership is not endorsement. This transfers rights. It is not a warranty that AI Output is accurate, pedagogically sound, culturally appropriate, or original.

7. AI accuracy, review, and safety

The short version. The AI makes mistakes, and it makes them fluently. Checking it before it reaches a learner is your job — we don't do it for you. You're always talking to software, not a person.

7.1 What can go wrong. AI Output can be wrong, outdated, biased, or inappropriate — and it can be wrong while sounding fluent, confident, and native. Fluency is not accuracy. Treat AI Output as a draft.

7.2 Review is required, not recommended. Before AI Output reaches a Learner as instruction, assessment, graded feedback, or a correction to their language, a qualified Facilitator must review it. That review is your responsibility. We don't perform it, and the Service does not prevent unreviewed AI Output from reaching a Learner.

7.3 Proficiency estimates. The Service may generate an estimated proficiency level for a Learner, including on a recognized scale. These are automated estimates, not accredited or standardized assessments. They are advisory to the Facilitator and must be reviewed before being shared, recorded, or relied on.

7.4 Never the sole basis. Do not use AI Output alone to decide placement, promotion, grades, certification, discipline, admission, immigration status, or employment.

7.5 You're talking to AI. Our conversational practice features are artificial intelligence, not a person. They are a language-practice tool — they are not a friend, a counsellor, or a substitute for human support, and they may not be suitable for every Learner.

7.6 Not professional advice. AI Output is not professional, legal, medical, mental-health, or financial advice.

8. How we handle your data for AI

The short version. We don't train AI on your content, and we route it only to providers whose published policies say they don't either. We tell you exactly how that works rather than implying more than we've signed.

8.1 We do not train on your content. We do not use Learner Content to train, fine-tune, or retrain any AI model of our own.

8.2 How we route it. We use a third-party routing service to send content to AI model providers. We configure it to route only to providers whose published data policies state they do not use inputs or outputs to train their models, and we do not enable optional prompt-logging. Our routing service does not retain the content of prompts or responses.

8.3 What providers may retain. Model providers may retain content briefly for security and abuse detection — typically no more than 30 days — before deleting it. These commitments come from providers' own published terms. We do not contract with each provider directly and cannot independently verify their internal practices. We describe the categories of providers we use in our Privacy Policy, will identify specific providers on request, and will give at least 30 days' notice before we begin using a new category of provider or make a change that materially affects how your content is handled.

8.4 This is not an opt-out. It applies to every account by default. We will not condition access, price, or features on your agreeing to model training.

8.5 Narrow exceptions, stated in full. We may use (a) content you expressly submit to us as feedback, limited to that content; and (b) content retained briefly to investigate a specific safety report. Neither is used for training.

8.6 Human review for safety. Content flagged by our safety systems may be reviewed by a small number of trained SoWo personnel to determine whether it violates Section 4, or whether a Learner may need help under 7.5. That access is limited to the people who need it. We do not otherwise read your content.

8.7 If this changes, we ask first. Any training use of Learner Content would require your written opt-in, given separately from these Terms. Silence is not consent, and we won't make it a condition of continued service.

9. Our intellectual property

The short version. The SoWo platform and brand are ours. You get a licence to use the Service while you're subscribed.

9.1 Ours. The Service — application, design, interface, software, AI systems and configurations, and the specific expression of our Practice Loop methodology — is owned by Social World or its licensors.

9.2 Trademarks. "SoWo," "Social World," the SoWo logo, and our other brand features are our trademarks.

9.3 Your licence. A limited, non-exclusive, non-transferable licence to access and use the Service for language teaching and learning during your subscription. We reserve all rights not expressly granted. Sections 5 and 6 govern Your Content and AI Output.

10. Subscriptions and billing

The short version. Plans renew automatically until you cancel. You can cancel at any time.

10.1 Plans and fees. The plans, fees, billing period, and promotional terms are those presented at purchase and described at joinsowo.com/pricing. Fees are in U.S. dollars and exclude taxes.

10.2 Payment. Processed by Stripe. You authorize us and Stripe to charge your payment method.

10.3 Automatic renewal — please read this carefully. Your subscription renews automatically and you will be charged on a recurring basis unless you cancel.

• It renews at the end of each billing period for another of the same length.
• You'll be charged the then-current fee plus taxes, to the payment method on file, as disclosed at purchase and confirmed in your order confirmation.
• To cancel, Account Settings → Subscription → Cancel. Cancellation is a single step. We may show an alternative offer, but a direct link to complete cancellation stays visible throughout, and we process it immediately.
• Cancellation takes effect at the end of your current paid period. You keep access until then and aren't charged again.

10.4 Free trials. During a free period you aren't charged. Unless you cancel before it ends, your subscription converts to paid under 10.3. One per customer unless we say otherwise.

10.5 Founding price. Held for three years from your first paid billing date while your subscription stays continuously active — no lapse of more than 30 days. Plan changes and a payment failure cured within 30 days don't break continuity.

10.6 Price changes. We'll email you at least 30 days before a change takes effect; it applies at your next renewal after notice. You can cancel first.

10.7 Taxes. You're responsible for applicable taxes other than taxes on our net income.

10.8 State disclosures. For residents of California, Colorado, New York, and other states with automatic renewal laws, the disclosures in 10.3 are made to satisfy those laws. You may cancel online in one step.

11. The 90-day guarantee

The short version. If SoWo isn't working for you, ask for your money back within 90 days. We won't ask you to prove anything.

11.1 What it covers. Subscription fees you actually paid during your first 90 days of paid subscription.

11.2 How to claim. Email support@joinsowo.com within 90 days of the start of your paid subscription. You don't need to submit evidence of your learners' progress. We refund in full.

11.3 After a free period. The guarantee applies to fees you pay in your first 90 days of paid subscription.

11.4 What it doesn't cover. Taxes, third-party fees, accounts obtained through fraud or resold, more than one claim per customer, fees outside the window.

11.5 Not your only remedy. This is in addition to any other rights you have.

12. Third parties and copyright

12.1 Third-party services. The Service depends on third parties, including AI providers, payment processing, and hosting. Their terms and privacy policies also apply to features that depend on them. We describe the categories of providers we use in our Privacy Policy and will identify specific providers on request.

12.2 Copyright. Our notice-and-takedown process and repeat-infringer policy are in our Copyright Policy, which forms part of this agreement.

13. Warranties and disclaimers

The short version. We work hard to keep SoWo running well, but we can't promise it's perfect or always available.

13.1 Early release. SoWo is in early release and some features are still being built. Features labelled beta or preview may change or be withdrawn.

13.2 As is. To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant the Service will be uninterrupted, error-free, or secure, or that AI Output will be accurate. This extends to statements in any summary, help article, or marketing material.

13.3 Learning outcomes. Outcomes depend on effort, context, time, and individual factors outside our control. We don't promise a specific result, score, or proficiency level.

13.4 Some jurisdictions don't permit certain exclusions.

14. Liability, indemnity, and termination

The short version. There's a cap on what we can owe you. We can suspend accounts that break the rules — with notice and a chance to fix it, in almost every case.

14.1 Excluded damages. To the maximum extent permitted by law, we won't be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, or goodwill.

14.2 The cap. Our total cumulative liability will not exceed the greater of fees you paid us in the 12 months before the claim, or $100.

14.3 What can't be limited. Nothing here limits liability that can't be limited by law, including for gross negligence, willful misconduct, or your non-waivable consumer rights. These limits apply regardless of legal theory and even if a limited remedy fails of its essential purpose.

14.4 Your indemnity. You'll defend and indemnify Social World and its officers, members, employees, and agents against claims arising from: (a) your misuse of the Service; (b) your violation of these Terms or law; (c) Your Content; (d) your infringement of a third party's rights; or (e) your breach of Section 2.2.

14.5 You can leave any time. Cancel as described in 10.3.

14.6 Suspension and termination. We may suspend or terminate your account for material breach, non-payment, security or legal risk, or where law requires. We will give at least 10 days' written notice and an opportunity to fix the problem, except where the risk is immediate — active security threats, illegal content, or a credible risk of harm to a Learner — in which case we'll tell you as soon as we reasonably can.

14.7 If we terminate without cause. Pro-rata refund of the unused prepaid portion.

14.8 Your data on the way out. Request an export of Your Content and AI Output at any time at support@joinsowo.com; we provide it within 30 days. After you close your account we keep your data recoverable for 30 days. To have it deleted, email support@joinsowo.com and we'll remove it within 30 days of your request.

14.9 What survives. Sections 1, 4.2, 5.4–5.6, 6, 9, 13, 14, 15, 16, and 17.

15. Changes to these Terms

The short version. If we change something that takes a right away from you, we'll tell you and ask you to accept it. Smaller changes take effect when we post them.

15.1 Changes that reduce your rights. If we make a change that meaningfully reduces your rights or increases your obligations — including to Sections 2.4, 6, 8, or 14 — we'll email you, post the updated Terms, and ask you to accept them before you carry on using the Service. We'll give you reasonable notice before the change takes effect, and never less than 14 days.

15.2 If you don't accept. Your existing Terms continue until the end of your current billing period. You may cancel at any point.

15.3 Everything else — clarifications, corrections, and new features that don't reduce your rights — takes effect when posted. We'll update the "Last updated" date.

15.4 New features that collect new information. When we add something that collects information we didn't collect before, we update our Privacy Policy to describe it before we start collecting. That's a disclosure, not a change to your rights, so 15.1 doesn't apply.

15.5 Price changes are governed by Section 10.6, which gives you 30 days' notice.

15.6 Never retroactive. A change to Sections 14 or 16 doesn't apply to a claim that arose before its effective date.

15.7 Version history. Prior versions are available on request at support@joinsowo.com.

16. Governing law and disputes

The short version. Colorado law. Talk to us first. No arbitration, and you keep your right to go to court.

16.1 Governing law. Colorado law, without regard to conflict-of-laws rules.

16.2 Talk to us first. Contact support@joinsowo.com, describe the dispute, and give us 30 days to resolve it in good faith. We'll do the same.

16.3 Courts. Disputes will be brought in the state or federal courts in Colorado.

16.4 No arbitration. No mandatory arbitration, no class-action waiver. You keep your right to a court and a jury.

17. General

17.1 Assignment. You may not assign without our written consent, except to a successor in a merger, acquisition, or sale of substantially all your assets, on written notice. We may assign in connection with a merger, acquisition, financing, or sale of assets.

17.2 Severability. Unenforceable provisions are limited or removed to the minimum extent necessary.

17.3 Waiver. Must be in writing.

17.4 Force majeure. Events beyond our reasonable control.
